An option agreement is a legal contract between a landowner and a developer. This contract offers the developer the opportunity, but not the obligation, to buy the property from the landowner within a stipulated time frame. The agreement is binding and is usually used by developers to secure the property while they explore the planning potential of the land. The developer often pays an option fee, sometimes as little as £1, to the landowner. The purchase price for the property is agreed upon between the parties at the outset of the option.

The option agreement prohibits the landowner from selling the property to a third party during the option period while the developer is exploring the feasibility of the proposed development. Once the developer is satisfied with the viability of the project, he can trigger the purchase of the property by ‘exercising’ the option.

Once the option to purchase land has been exercised, it becomes an agreement that obligates the landowner to sell and the developer to purchase on the agreed-upon terms. In contrast, if it turns out that the project is not suitable, the developer can simply walk away without any legal repercussions or penalties.

It’s important to note that an option is not an obligation, but rather a choice to purchase the land. The downside for the landowner is that the developer may decide at a later stage during the option period that the proposed development is not viable and withdraw from the deal.

However, if the option agreement is drafted and agreed upon diligently, it can be a practical method for landowners to offer their land for development and reap the rewards without having to directly participate in the planning or construction process.
